Terms Of Use

1. Acceptance of Terms 

These terms of use (the “Terms of Use”) apply to all users of Quattro Mani s.r.l.’s website URL SPERETO.COM, herein “SPERETO.COM”. 

SPERETO.COM provides a collection of online services, (the “Service”) subject to the Terms of Use. Please read the Terms of Use carefully. SPERETO.COM provides you with the Service in exchange for your agreement to comply with these Terms of Use. By visiting or using the Service, you agree to comply with and to be legally bound by these Terms of Use. If you do not wish to be bound by these Terms of Use, please do not visit or use the Service. Furthermore, we cannot guarantee that all information is correct and stays correct as construction of the building progresses. Therefore, all information MUST be verified by our sales personnel in order to be legally binding.
Furthermore, the SPERETO.COM website and Content available through the Service may contain links to other websites, which are completely independent of SPERETO.COM. If you link and proceed to other web sites, you do so at your own risk. SPERETO.COM expressly states that it takes no responsibility of any kind for other websites and their content. In such case, please provide SPERETO.COM with sufficient detail in order for SPERETO.COM to be able to identify the material that you claim is infringing and a description of the infringement. Please also provide your contact information.

SPERETO.COM has established a Privacy Policy to explain to users how their information is collected and used, which you also agree that you are familiar with and that constitutes part of your agreement while using the Service. You further acknowledge and agree that SPERETO.COM may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or other administrative order or otherwise in order to enforce the Terms of Use; respond to claims that any Content violates the rights of third-parties; respond to claims that contact information of a third party has been posted without consent; protect the rights, property, or safety of SPERETO.COM, its users or others.

SPERETO.COM may (but is not obligated to) enforce any and all of its intellectual property rights and other legal rights to the fullest extent possible by law, and may seek damages, injunctive reliefs, attorney’s fees and criminal prosecution where appropriate. Any rights not expressly granted herein are reserved by SPERETO.COM.

10. Limitations of Liability

11. Indemnity

You agree to indemnify and hold SPERETO.COM AND IF APPLICABLE ANY ASSOCIATED PHYSICAL OR LEGAL PERSONS harmless from any claim or demand, including reasonable attorney fees and court costs made by any third party due to or arising out of Content you submit or make available through the Service, your use of the Service, your violation of the Terms of Use or PRIVACY POLICY, your breach of any of the representations and warranties herein OR OTHERWISE BREACH OF THE SPIRIT OF spereto.com AND THE APPLICABLE AGREEMENTS.

 

12. Governing Law and Disputes

The Terms of Use, the Privacy Policy and the relationship between you and SPERETO.COM shall be governed by the substantial laws of the Netherlands. You and SPERETO.COM agree that all disputes and claims arising out of or in connection with this contract, or the breach, termination or invalidity thereof, shall be submitted to arbitration under the auspices of the Arbitration Rules of the Netherlands Arbitration Institute (the “NAI Rules”) in force on the date on which the notice of arbitration is submitted in accordance with such rules. The arbitral tribunal shall be composed of three arbitrators appointed in accordance with the NAI Rules. The seat and place of arbitration shall be Amsterdam, the Netherlands, and the English language shall be used throughout the arbitral proceedings.

If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms of Use must be filed within one (1) year after such claim or cause of action arose.
